Is Counter OJS3 compatible with OJS2's counter data?

Hello.

We need to upgrade OJS2 with counter module to OJS3

is Counter OJS3 compatible with OJS2’s old counter data?

Yes, but unfortunately in OJS 2 also the remote galleys were counted, which is not the case in OJS 3, so that the numbers could deffer because of that.
